As part of this strategic assessment, the Company is currently examining a potential deal with an energy firm that specializes in building highly scalable, off-grid power generation infrastructure solutions tailored for data centers.

The Company believes the surging electricity needs driven by artificial intelligence, cloud computing, and data center construction are generating considerable prospects across the energy infrastructure landscape. The Board considers the possible transaction deserving of deeper analysis as part of its wider review of options to fortify the Company and deliver ongoing shareholder value.

The Company stressed that it has not executed a binding definitive agreement concerning the prospective business combination and has not made a final decision on any strategic alternative for SemiCab. There is no guarantee that the Company’s strategic review or discussions regarding the potential business combination will result in a definitive agreement or the completion of any transaction.

Any possible transaction would depend on the negotiation and signing of definitive agreements, completion of due diligence, appropriate Board and shareholder approvals, regulatory and Nasdaq requirements, financing conditions (if applicable), and other customary closing conditions.
